TERMS OF SERVICE

These Terms of Service (“Terms”) form the agreement between you and Titan eCommerce PTY LTD (ACN 603 955 219, ABN 86 603 955 219, “Titan”, “we”, “us”, “our”) — an Australian company based at 402/517 Flinders Lane, Melbourne VIC 3000 — and govern your access to and use of the hosting, domain, and related services we provide (the “Services”).

By signing up for an account, accessing the Services, or using our website at titanecommerce.com, you agree to be bound by these Terms. If you do not agree, please don’t use the Services.

1. Account Terms

  1. You must be 18 years or older, or at least the age of majority in the jurisdiction where you reside, to register for an account with Titan.
  2. To access the Services you must register for a Titan account by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required. Titan may, at our sole discretion, reject your application or cancel an existing account.
  3. You acknowledge that Titan will use the email address you provide as the primary method of communication for all matters relating to your account, including billing, security and service notifications.
  4. You are responsible for keeping your password secure. Titan cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials, including credentials shared with third parties (such as developers or agencies).
  5. You are responsible for all content, files, data, code and communications uploaded, transmitted, stored, displayed or generated through your account (“Your Content”).
  6. A material breach of these Terms, including our Acceptable Use Policy in Section 3, may result in immediate suspension or termination of your account in addition to any other remedies available to us at law.

2. The Services

  1. Titan provides web hosting services across four tiers — Shared, Reseller, Virtual Private Server (VPS), Cloud and Dedicated — together with related products including domain registration, SSL certificates, backups and migration assistance.
  2. The specific resources, limits and inclusions for your plan are described on the plan’s product page at the time of purchase and in the order confirmation we send to you.
  3. Some Services include a “Managed” component (such as our Shared, Reseller and Cloud tiers). Others, such as unmanaged VPS and Dedicated plans, give you full root or administrator access — you are responsible for the operating system, applications and security configuration on those plans.
  4. We may add, modify or discontinue features of the Services from time to time. Where a change is materially adverse to you, we will use reasonable efforts to notify you in advance.

3. Acceptable Use Policy

  1. You must not use the Services to host, distribute or transmit any content that is unlawful, infringes the intellectual property rights of others, is defamatory, or contains malware or malicious code.
  2. You must not use the Services to send unsolicited bulk email (spam), conduct phishing or fraud, run open relays or open proxies, or perform any action that disrupts the integrity or performance of our infrastructure or other customers’ services.
  3. You must not attempt to gain unauthorised access to any part of our infrastructure, other customer accounts, or any system connected to the Services.
  4. You must not host content that depicts, promotes or facilitates child sexual exploitation, terrorism, or other content prohibited under Australian law.
  5. You may not resell Shared, VPS or Dedicated services to third parties except where you have purchased one of our designated Reseller plans, which expressly permit this use.
  6. Titan may, in our reasonable discretion, suspend or terminate any account that we believe is in breach of this Acceptable Use Policy, with or without notice.

4. Billing, Renewals and Refunds

  1. Fees for the Services are payable in advance, in Australian Dollars unless otherwise specified, and are inclusive of GST where applicable. All amounts on our public pricing page are quoted in AUD.
  2. Your plan will automatically renew at the end of each billing cycle (monthly or annual) using the payment method on file, unless you cancel before the renewal date through your customer portal.
  3. We accept payment by major credit card (Visa, Mastercard, American Express), PayPal, and Australian bank transfer. Annual customers may also pay by invoice on request.
  4. 30-Day Money-Back Guarantee. If you are a new customer and decide within thirty (30) days of your first purchase that Titan is not the right fit, contact us and we will refund the hosting fees paid for that initial order in full. Domain registrations, SSL certificates and third-party services are excluded from this guarantee as they are non-refundable once issued.
  5. If a payment fails or is reversed, we may suspend access to the Services until payment is brought current. Accounts remaining unpaid for more than fourteen (14) days may be terminated and the associated data deleted.

5. Uptime Guarantee and Service Credits

  1. Titan provides a 99.99% uptime guarantee on the Services, measured monthly and excluding scheduled maintenance, force majeure events, and downtime caused by you or your software.
  2. If we fail to meet the uptime guarantee in any calendar month, you may request a service credit calculated as a pro-rated refund of your monthly hosting fee proportional to the period of downtime.
  3. Service credit requests must be lodged within thirty (30) days of the end of the affected billing period and are limited to a maximum of one (1) month’s hosting fee per incident.
  4. Service credits are your sole and exclusive remedy for any failure of Titan to meet the uptime guarantee.

6. Your Content and Data

  1. You retain all ownership rights in Your Content. We do not claim ownership of websites, applications, databases, files or any other materials you store with us.
  2. You grant Titan a limited, non-exclusive licence to host, store, process and serve Your Content solely to provide the Services to you.
  3. We take daily off-site backups of customer accounts on all plans, retained for thirty (30) days. Backups are provided as a courtesy — you remain responsible for maintaining your own independent backup of any data important to your business.
  4. Upon termination of your account for any reason, your data will be retained for a grace period (typically fifteen (15) days) during which you may request an export, after which it will be permanently deleted.

7. Support

  1. Titan provides support 24 hours a day, 7 days a week, 365 days a year by phone on +61 3 9067 7770 and by email at [email protected].
  2. Our support covers issues related to our infrastructure, account management, billing, and the platforms we install for you (cPanel, WHM, our managed WordPress stack and LiteSpeed configuration).
  3. We do not provide general code-level development support for your applications, themes or plugins, though our team will assist with diagnosis where possible as a goodwill measure.

8. Suspension and Termination

  1. You may cancel your account at any time from the customer portal. Cancellation takes effect at the end of your current billing cycle and no refund is provided for unused time, except where required under the 30-day money-back guarantee.
  2. Titan may suspend or terminate your account where you breach these Terms, where required by law, where your activity threatens the integrity or security of our infrastructure, or where payment remains overdue.
  3. Provisions of these Terms which by their nature should survive termination — including limitations of liability, indemnities and governing law — shall survive.

9. Intellectual Property

  1. The Titan eCommerce name, logo, website and all related branding are the intellectual property of Titan eCommerce PTY LTD. You may not use them without our prior written consent.
  2. Third-party software made available as part of the Services (for example WordPress, cPanel, LiteSpeed, Cloudflare, Jetpack) is licensed by its respective vendor and your use is subject to their licence terms.

10. Limitation of Liability

  1. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law that cannot be lawfully excluded, restricted or modified.
  2. To the maximum extent permitted by law, Titan’s aggregate liability to you for any claim arising out of or in connection with the Services is limited to the amount paid by you to Titan for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.
  3. To the maximum extent permitted by law, Titan is not liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, loss of business, loss of goodwill or loss of data.

11. Governing Law and Jurisdiction

  1. These Terms are governed by the laws of the State of Victoria, Australia.
  2. You and Titan submit to the non-exclusive jurisdiction of the courts of Victoria and the courts of appeal from them in respect of any dispute arising from these Terms or the Services.

12. Changes to These Terms

  1. We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision.
  2. Where a change is material we will notify existing customers by email at least thirty (30) days before the change takes effect, giving you the opportunity to cancel if you do not accept the new terms.
